Welcome to Valune. These Terms of Service ("Terms") are a binding legal agreement between you and Valune LLC ("Valune," "we," "us," "our"), an Alabama limited liability company, and they govern your access to and use of the Valune mobile app, website, and related services (together, the "Service"). Our Privacy Policy & Disclaimers is incorporated into these Terms by reference.

Please read these Terms carefully. By checking the box to accept these Terms at sign-up, or by creating an account or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not create an account or use the Service. These Terms include important provisions that limit our liability, require you to assume certain risks (Sections 4–6 and 14–16), and govern how disputes are resolved (Section 18).

1. Who can use Valune

You must be at least 16 years old (and, if you are under the age of majority where you live, have your parent or guardian's permission) and legally able to form a binding contract. The Service is not intended for children under 13, and we do not knowingly collect their information. By using the Service you represent that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under applicable law.

3. What Valune is (and isn't)

Valune is a general wellness and self-tracking app that helps you log and reflect on habits across sleep, food, movement, mind, and (optionally) sobriety, and offers educational information and an optional AI wellness companion. Valune is not a healthcare provider, medical device, pharmacy, laboratory, mental-health or addiction-treatment provider, emergency service, or a substitute for any of these. Using the Service does not create a doctor–patient, therapist–client, coach–client, or any other professional or fiduciary relationship between you and Valune.

4. Not medical advice

The Service's content, calculators, estimates, insights, reminders, and AI responses are for general informational and self-guidance purposes only. They are not medical, nutritional, psychological, or clinical advice, and they do not diagnose, treat, cure, or prevent any disease or condition. Always seek the advice of a qualified physician or other licensed healthcare professional before starting, stopping, or changing any diet, exercise, fasting, sleep, medication, supplement, mental-health, or substance-recovery routine, and never disregard or delay professional advice because of something you read or received in the Service. Any reliance you place on the Service is strictly at your own risk.

5. Health, safety & assumption of risk

Physical activity, dietary change, fasting, and changes to substance use carry inherent risks. By using the Service you voluntarily assume all risks associated with acting on information from it, and you agree that you are solely responsible for evaluating whether any activity is appropriate for you.

6. AI features

Valune includes optional AI features (for example, the "Trixie" wellness companion and photo-based food estimates) powered by third-party AI models. AI can be inaccurate, incomplete, or inappropriate, may "hallucinate" facts, and is not a licensed professional. Treat AI output as general information only, verify anything important with a qualified professional, and do not rely on it for medical, mental-health, legal, financial, or emergency decisions. Do not enter information you don't want processed by third-party AI providers to generate a response. You are responsible for how you use AI output.

You agree not to:

The community and leaderboard are optional and opt-in. Anything you make visible to other members (such as your chosen username) must follow the rules above. We may remove content, hide a member from the leaderboard, or suspend accounts that break them. You can report or block other members from within the app, and appeal a moderation decision.

8. Your content

You keep ownership of the data and content you enter into Valune. You grant us a limited, non-exclusive license to store and process it solely to operate and improve the Service for you (for example, to sync your data across your devices, generate AI responses at your request, and show your progress back to you), as described in our Privacy Policy. You are responsible for your content and represent that you have the right to submit it. Certain sensitive data, such as your progress photos, is stored only on your device and is not uploaded to us, as described in the app and Privacy Policy.

9. Our intellectual property

The Service — including its software, design, text, graphics, the "Valune" and "Trixie" names and logos, and all related content we provide — is owned by Valune or our licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service for your own personal, non-commercial wellness use, subject to these Terms. Educational summaries reference third-party research for commentary and information and link to the original sources; those sources remain the property of their owners. You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted.

10. Subscriptions, billing & refunds

Valune offers an optional paid plan (Valune Ultimate). The plan, price, billing period, and any trial or introductory discount shown to you at checkout apply to that purchase.

Automatic renewal & billing

When you subscribe to a paid plan you authorize us (or the applicable app store) to charge you the price shown at checkout, and the plan renews automatically for the same period at the then-current price until you cancel. We (or the store) will charge your payment method at the start of each renewal period. You can cancel before a renewal to avoid the next charge.

Canceling

You can cancel any time from Settings → your membership (or the billing portal, or through your app store if you subscribed there). Canceling stops future charges; you keep access through the end of the period you've already paid for.

Our 30-day money-back guarantee

If you subscribe directly through valune.app and you're not happy, you can request a refund from Settings → your profile within 30 days of a charge (or email support@valune.app). A few fair-use limits keep it sustainable:

App Store & Google Play purchases

If instead you subscribe through the Apple App Store or Google Play, that purchase is subject to the store's terms, and billing, renewals, cancellations, and refunds are handled by that store — request those refunds through Apple or Google, not through us.

11. Third-party services

The Service relies on third parties — for example, cloud hosting and database (Supabase), payment processing (Stripe, Apple, Google), AI model providers, email, and analytics. Your use of features that involve them may also be subject to their terms, and we are not responsible for third-party services, their availability, or their acts or omissions. Links to external websites or studies are provided for convenience and information; we don't control and aren't responsible for their content.

12. Changes to the Service

We're actively improving Valune, so features may be added, changed, or removed over time, and we may suspend or discontinue parts of the Service.

13. Termination

You can stop using Valune and request deletion of your account at any time from within the app. We may suspend or terminate your access, with or without notice, if you violate these Terms or if we reasonably believe your use creates risk or legal exposure for us or others. Sections that by their nature should survive termination (including Sections 4–6 and 8–19) will survive.

14. Disclaimers of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that any estimate, insight, or information it provides is accurate, complete, or suitable for your circumstances, or that any result will be achieved. Some jurisdictions don't allow certain warranty exclusions, so some of the above may not apply to you.

15. Limitation of liability

To the maximum extent permitted by law, Valune and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for any personal injury or health consequences, arising out of or relating to your use of (or inability to use) the Service, even if we've been advised of the possibility. To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or US $100. Some jurisdictions don't allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Valune and its owners, employees, and suppliers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Service, your violation of these Terms or of any law, or your violation of the rights of any third party.

17. Governing law

These Terms are governed by the laws of the State of Alabama, USA, without regard to its conflict-of-laws rules. Subject to Section 18, the state and federal courts located in Madison County, Alabama will have exclusive jurisdiction, and you consent to venue there, to the extent permitted by applicable law.

18. Disputes & arbitration

Let's try to resolve it directly first. If you have a dispute, please contact support@valune.app so we can try to resolve it informally; most issues can be settled quickly this way.

To the extent permitted by applicable law, any dispute that isn't resolved informally will be settled by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-use matters. You and Valune waive any right to a jury trial and to participate in a class action, and claims may be brought only in an individual capacity. Nothing in these Terms waives any rights that cannot be waived under applicable law, and where binding arbitration or a class-action waiver is not enforceable, that portion will not apply.

If we change these Terms, we'll update the date above and, for significant changes, notify you in the app or by email. Changes take effect when posted (or on the stated effective date), and continuing to use the Service after that means you accept the updated Terms. If you don't agree, stop using the Service and you may close your account.
